Terms of service

These terms are an agreement between SC Technology, Irvine, California ("SC Technology", "we", "us") and the business that installs or subscribes to DeskBridge ("you"). By installing the HubSpot app, running the DeskBridge agent, or paying for a subscription, you agree to these terms on behalf of that business, and you confirm you're authorized to do so.
1. The service
DeskBridge reads data from a QuickBooks Desktop company file, through a Windows agent and QuickBooks Web Connector, and writes it to your HubSpot portal on a schedule, as described on our website and in the setup guide. The current version is read-only toward QuickBooks. We may improve or change features. If a change materially reduces what your paid plan does, we'll tell you in advance, and you may cancel with a pro-rated refund of any prepaid period.
2. Your responsibilities
- You install the app from your own HubSpot portal, and you have the right to connect the QuickBooks data and HubSpot portal you connect.
- You keep the QuickBooks computer, Windows, QuickBooks and Web Connector running, licensed and supported by Intuit. You also keep your own backups of the QuickBooks company file and your HubSpot data.
- You keep your agent token, Web Connector password and sign-in email secure, and you tell us promptly if you think they've been exposed.
- You're responsible for how your team uses the synced data in HubSpot, and for your obligations to the people whose data it is.
- You won't use DeskBridge to break the law, to break HubSpot's or Intuit's terms, to reverse engineer or resell the service, or to disrupt it or other customers.
3. Subscriptions and payment
- Setting up is free. A paid subscription is required to keep syncing once setup is complete. Current prices are on the pricing page.
- Subscriptions are billed in advance, monthly or annually, through Stripe, and renew automatically until cancelled.
- Founding rate: if you subscribed at a founding rate, that price is locked for as long as your subscription stays active without a break. It ends if you cancel, or if payment fails and isn't fixed within 14 days.
- You can cancel at any time. Cancellation takes effect at the end of the current billing period. Except as stated in these terms, fees already paid are non-refundable.
- We may change list prices with at least 30 days' notice. The change applies from your next renewal, and never to a locked founding rate.
- Prices exclude taxes. You're responsible for applicable sales and use taxes.
- If payment fails, we may pause syncing after notifying you. We won't delete your data until the retention period in the privacy policy has passed.
4. Your data
You own your QuickBooks and HubSpot data. You grant us a limited right to process it only to provide, secure and support DeskBridge, as described in the privacy policy, which is part of these terms. We don't sell your data or use it for any other purpose.
5. Third-party services
DeskBridge depends on HubSpot, QuickBooks Desktop and QuickBooks Web Connector, which are provided by HubSpot, Inc. and Intuit Inc. under their own terms. We don't control them and aren't responsible for their availability, changes or discontinuation. This includes Intuit ending support for a QuickBooks Desktop version. If a third-party change makes the service unworkable, we may end it with notice and refund any prepaid, unused period. DeskBridge is not affiliated with, sponsored by or endorsed by HubSpot or Intuit. HubSpot and QuickBooks are trademarks of their respective owners.
6. Availability and support
We aim to keep DeskBridge running continuously and to respond to support email within one business day, but we don't guarantee a specific uptime. The sync is designed to catch up after interruptions: records changed while it was down are picked up on the next successful run.
7. Warranty disclaimer
Except as expressly stated in these terms, DeskBridge is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the service will be error-free or that every record will sync without intervention. You should check important figures against QuickBooks, which remains your system of record.
8. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility. Our total liability arising out of these terms or DeskBridge is limited to the amount you paid us in the 12 months before the claim arose. These limits don't apply to your payment obligations, or to liability that can't be limited by law.
9. Suspension and termination
You may stop using DeskBridge at any time by uninstalling it, as described in the setup guide, and cancelling your subscription. We may suspend or terminate your access if you materially breach these terms and don't fix the breach within 14 days of notice, or immediately where needed to protect the service, other customers or the law. On termination, sections 4, 5, 7, 8 and 11 continue to apply.
10. Changes to these terms
We may update these terms. For material changes, we'll email active customers at least 30 days before they take effect. If you keep using DeskBridge after that, you accept the updated terms. If you don't accept them, cancel before they take effect.
11. General
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts in Orange County, California have exclusive jurisdiction. These terms and the privacy policy are the entire agreement about DeskBridge. If any part is unenforceable, the rest stays in effect. You may not assign these terms without our consent, except to a successor of your business.
